1. Introduction
Welcome to SonicAlpha, an market intelligence platform operated by kGrid Inc. ("SonicAlpha," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of SonicAlpha's website, dashboards, data analytics tools, and related services (collectively, the "Service").
By accessing or using SonicAlpha, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.
ABOUT OUR SERVICE: SonicAlpha uses artificial intelligence and natural language processing to monitor, analyze, and surface insights related to public companies from publicly available podcast episodes. The Service does not create, record, or publish original audio or video content. All source material analyzed by SonicAlpha is derived from publicly available podcast episodes.
2. Eligibility and Account Requirements
2.1 Age Requirements
You must be at least 18 years old to use SonicAlpha. By creating an account, you represent and warrant that you are at least 18 years of age.
2.2 Account Creation
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
2.3 Account Restrictions
You may not:
- Create an account if you have been previously banned from SonicAlpha
- Create multiple accounts to evade restrictions or bans
- Use another person's account without permission
- Sell, trade, or transfer your account to another person
3. The SonicAlpha Service
3.1 Service Description
SonicAlpha provides an market intelligence platform that:
- Monitors thousands of podcast feeds across finance, technology, biotech, energy, and other sectors
- Uses AI to identify speakers, their titles, companies, and context from publicly available podcast episodes
- Tracks and surfaces insights related to public companies from podcast appearances over time
- Detects narrative shifts, contradictions, and emerging themes in statements about public companies
- Provides company profiles, watchlists, sector dashboards, and analytical insights
- Generates exportable reports and alerts based on your tracked companies and topics
3.2 Source Material
All podcast content analyzed by SonicAlpha is sourced from publicly available podcast episodes. SonicAlpha does not host, redistribute, or claim ownership over original podcast audio. We provide analysis, attribution, transcription excerpts, and insights derived from this publicly available content.
3.3 Data Accuracy
While we strive for high accuracy in our AI-powered analysis, you acknowledge that:
- Speaker identification may not always be 100% accurate
- Transcriptions and summaries may contain errors or omissions
- Narrative shift and contradiction detection relies on automated analysis and may produce false positives or miss relevant changes
- Insights provided by SonicAlpha are informational and do not constitute investment advice, financial advice, or a recommendation to buy or sell any security
4. Subscriptions and Payment
4.1 Subscription Plans
SonicAlpha offers paid subscription plans that provide access to the Service. Details of available plans, features, and pricing are available on our website and may be updated from time to time.
4.2 Billing and Payment
By subscribing to a paid plan, you agree to:
- Pay the applicable subscription fees as described at the time of purchase
- Provide valid and current payment information through our third-party payment processor (Stripe)
- Authorize recurring charges for your subscription period until you cancel
4.3 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Upon cancellation:
- You will retain access to the Service until the end of your current billing period
- No refunds will be provided for partial billing periods unless required by applicable law
- Your account will revert to a limited or inactive state after the subscription period ends
4.4 Price Changes
We may change subscription pricing at any time. We will provide at least 30 days' notice of any price increase. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price.
5. Acceptable Use
5.1 Permitted Use
You may use SonicAlpha for lawful purposes, including personal research, investment analysis, and professional use within your organization, subject to your subscription plan.
5.2 Prohibited Conduct
You may not:
- Use the Service for any illegal purpose
- Redistribute, resell, or sublicense access to the Service or its data without our prior written consent
- Scrape, crawl, or use automated systems (bots, scrapers) to extract data from the Service without authorization
- Attempt to circumvent any access controls, rate limits, or security measures
- Upload malicious code or attempt to compromise the Service's security or infrastructure
- Reverse engineer, decompile, or attempt to extract source code from our software or AI systems
- Misrepresent SonicAlpha-generated insights as your own original research without attribution
- Use the Service to manipulate securities markets or engage in insider trading
- Impersonate others or misrepresent your identity or affiliations
- Use the Service in any manner that could damage, disable, or impair the Service
6. Intellectual Property
6.1 SonicAlpha's Intellectual Property
All SonicAlpha branding, software, AI technology, data analytics, design elements, and platform features are owned by kGrid Inc. or our licensors. You may not:
- Use SonicAlpha's trademarks without written permission
- Copy, modify, or create derivative works of our software
- Reverse engineer our AI systems or algorithms
6.2 Third-Party Content
SonicAlpha analyzes publicly available podcast content created by third parties. We do not claim ownership of the original podcast audio or the statements made therein. All original content rights remain with their respective owners.
6.3 Your Data
You retain ownership of your watchlists, saved searches, and custom configurations created within the Service. By using SonicAlpha, you grant us a limited license to use this data to provide and improve the Service for you.
6.4 Copyright Infringement
SonicAlpha respects intellectual property rights. If you believe content on SonicAlpha infringes your copyright, please submit a DMCA notice to our designated Copyright Agent at copyright@sonicalpha.com.
Your notice must include:
- Identification of the copyrighted work
- Identification of the infringing material and its location
- Your contact information
- A statement of good faith belief that the use is unauthorized
- A statement that the information is accurate and you are authorized to act
- Your physical or electronic signature
7. No Investment Advice Disclaimer
SONICALPHA DOES NOT PROVIDE INVESTMENT ADVICE, FINANCIAL ADVICE, OR RECOMMENDATIONS TO BUY OR SELL ANY SECURITIES.
The information, data, analysis, and insights provided through the Service are for informational and research purposes only. They should not be construed as:
- A recommendation or solicitation to buy or sell any security
- Investment advice or financial planning guidance
- An endorsement of any investment strategy
- A substitute for professional financial advice from a qualified advisor
You are solely responsible for your own investment decisions. Always consult with a qualified financial advisor before making any investment decisions.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SONICALPHA DOES NOT WARRANT THAT:
- The Service will be uninterrupted, secure, or error-free
- AI-generated analysis, transcriptions, or speaker identifications will always be accurate
- Data or insights will be preserved or always accessible
- The Service will meet your specific requirements or expectations
- Podcast coverage will be complete or include every relevant episode
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONICALPHA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Investment losses or damages arising from reliance on SonicAlpha-provided data or analysis
- Damages arising from inaccuracies in AI-generated insights, transcriptions, or speaker attributions
- Damages arising from unauthorized access to your account
- Damages arising from service interruptions or data unavailability
SONICALPHA'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) $100 USD OR (B) THE AMOUNT YOU PAID TO SONICALPHA IN THE PAST 12 MONTHS.
9.3 Assumption of Risk
You acknowledge and agree that:
- AI-powered analysis may contain errors or inaccuracies
- Any investment or business decisions you make based on SonicAlpha data are made at your own risk
- Podcast content analyzed by SonicAlpha may not reflect the current state of the companies or views of the speakers discussed
- Past statements by executives do not predict future actions or performance
10. Indemnification
You agree to defend, indemnify, and hold harmless SonicAlpha, kGrid Inc., and our affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws
- Any investment or business decisions you make based on data obtained through the Service
11. Termination
11.1 Termination by You
You may terminate your account at any time by:
- Canceling your subscription through your account settings
- Contacting our support team
Upon termination:
- Your access to the Service will end
- Your watchlists, saved configurations, and account data will be deleted in accordance with our Privacy Policy
- No refunds will be provided for unused portions of a billing period
11.2 Termination by SonicAlpha
We may suspend or terminate your account if:
- You violate these Terms or our policies
- You engage in conduct that harms SonicAlpha or other users
- We are required to do so by law or legal process
- Your payment method fails and is not updated
- Your account remains inactive for an extended period
11.3 Effect of Termination
Upon termination:
- Your license to use the Service ends immediately
- Sections of these Terms that by their nature should survive will remain in effect (including disclaimers, limitations of liability, and indemnification)
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of California, without regard to conflict of law principles.
12.2 Informal Resolution
Before filing any legal action, you agree to contact us at legal@sonicalpha.com to attempt informal resolution. We will have 60 days to respond and attempt to resolve the issue.
12.3 Arbitration Agreement
YOU AND SONICALPHA AGREE THAT ANY DISPUTES WILL BE RESOLVED THROUGH BINDING, INDIVIDUAL ARBITRATION, NOT IN COURT, AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.
Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You may opt out of arbitration by sending written notice to kGrid Inc., 455 Market St Ste 1940, PMB 381476, San Francisco, California 94105-2448 US within 30 days of accepting these Terms.
12.4 Exceptions to Arbitration
The following may be brought in court:
- Claims related to intellectual property infringement
- Claims for injunctive relief
- Small claims court actions (within jurisdictional limits)
12.5 Limitation Period
You must bring any claim within one (1) year after the claim arises. Otherwise, the claim is permanently barred.
12.6 Venue
For claims not subject to arbitration, you agree to exclusive jurisdiction in the state and federal courts located in Santa Clara County, California.
13. General Terms
13.1 Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by:
- Posting a notice on the Service
- Sending an email to your registered email address
- Providing in-app notification
Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
13.2 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SonicAlpha.
13.3 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
13.4 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
13.5 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor.
13.6 Force Majeure
SonicAlpha is not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet failures.
13.7 Interpretation
Headings are for convenience only. "Including" means "including but not limited to." "Or" is inclusive (and/or).
